Introduction

These general terms and conditions apply to all offers, quotations, agreements, deliveries, services, and other legal relationships of Planq B.V. and its affiliated brands, including Rezign. By entering into an agreement with Planq, the Customer – whether private or business – agrees to these terms. Deviations from these conditions are only valid if confirmed in writing by Planq.

1. Definitions

1.1 Planq: Planq B.V., located at Groenmarkt 4 in Gorinchem, including affiliated brands such as Rezign.

1.2 Customer: any natural or legal person entering into an agreement with Planq.

1.3 Agreement: any legal relationship between Planq and the Customer concerning the supply of products and/or services.

1.4 Product: any good, material, or design supplied by Planq.

1.5 Service: any non-material performance provided by Planq.

1.6 Website: www.planq.nl and other digital platforms managed by Planq.

2. Applicability

2.1 These terms apply to all offers, quotations, and agreements under which Planq supplies goods and/or services.
2.2 The applicability of the Customer’s general terms and conditions is expressly rejected.
2.3 Planq may unilaterally amend these terms. Amended terms take effect once provided to the Customer.
2.4 If any provision is invalid or annulled, the remaining provisions remain fully in force.

3. Quotations and Agreements

3.1 All quotations and offers from Planq are non-binding unless expressly stated otherwise in writing.
3.2 An agreement is established once the Customer has accepted Planq’s offer and Planq has confirmed this in writing or electronically.
3.3 Images, specifications, and other product information are indicative; colour and material effects may vary.
3.4 The Customer guarantees the accuracy and completeness of any information provided. Planq is not liable for damages resulting from inaccurate information provided by the Customer.

4. Delivery and Execution

4.1 Delivery shall take place within the agreed period, unless delayed due to force majeure or third-party issues.
4.2 Delivery periods are indicative and not strict deadlines. Exceeding them does not entitle the Customer to compensation or termination.
4.3 Delivery occurs at the address provided by the Customer. If delivery proves impossible, additional costs are at the Customer’s expense.
4.4 Deliveries outside the Netherlands and Belgium include transport only; installation is excluded unless agreed otherwise in writing.
4.5 Planq is entitled to engage third parties to perform the Agreement.

5. Prices and Payment

5.1 All prices are in euros and exclude VAT.
5.2 Planq may adjust prices in the event of cost-increasing circumstances.
5.3 For orders exceeding €5,000, a 50% advance payment is required. Production will commence only after receipt of payment.
5.4 Payment must be made within the term stated on the invoice, without deduction or suspension.
5.5 If payment is overdue, the Customer shall be in default by operation of law and owe statutory interest.
5.6 All collection costs, both judicial and extrajudicial, are borne by the Customer.

6. Right of Withdrawal (Consumers Only)

6.1 A private Customer who purchased a stock product via the website may return it within 14 days of receipt.
6.2 The Customer must report the return within this period via the contact form. After confirmation, the product must be returned within 14 days.
6.3 The Customer bears the return shipping costs. Planq will refund the purchase price within 14 days after receipt of the product in good condition.
6.4 Products made to order or according to Customer specifications are excluded from the right of withdrawal.

7. Warranty and Complaints

7.1 Planq guarantees that its products comply with the agreement and reasonable expectations under normal use.
7.2 The warranty period is 24 months, provided the product is used and maintained in accordance with maintenance instructions.
7.3 Defects resulting from wear, misuse, improper assembly, or external factors are excluded from the warranty.
7.4 Complaints must be submitted in writing via the website contact form within 30 days of discovery.
7.5 Planq will reasonably remedy valid complaints by repair, replacement, or compensation.

8. Liability

8.1 Planq is only liable for direct damage directly resulting from an attributable failure.
8.2 Planq’s total liability is limited to the amount of the relevant invoice.
8.3 Planq is not liable for indirect damages such as consequential damage, loss of profit, or data loss.
8.4 This limitation does not apply in cases of intent or deliberate recklessness by Planq.

9. Retention of Title and Intellectual Property

9.1 All products supplied by Planq remain its property until the Customer has fully met all payment obligations.
9.2 All intellectual property rights, including copyrights on designs, photos, texts, drawings, and concepts, belong to Planq.
9.3 These materials may not be reproduced or made public without prior written consent from Planq.

10. Force Majeure

10.1 Force majeure includes any circumstance beyond Planq’s control that prevents fulfilment of obligations, such as natural disasters, war, strikes, pandemics, transport issues, or supplier failures.
10.2 During force majeure, Planq’s obligations are suspended. If the situation lasts longer than 90 days, both parties may terminate the agreement in writing.

11. Personal Data

11.1 Planq processes personal data in accordance with the General Data Protection Regulation (GDPR) and its privacy statement.
11.2 Personal data will only be used for the execution of the agreement and not shared with third parties without consent, unless legally required.

12. Rental

12.1 If products are rented, they remain the property of Planq at all times.
12.2 The lessee must handle the rented goods with care and return them in the same condition.
12.3 Damage, loss, or delayed return are entirely at the lessee’s expense.
12.4 Planq may inspect the rented goods at any time and may immediately terminate the rental agreement in case of default.

13. Applicable Law and Disputes

13.1 All agreements and legal relationships with Planq are governed exclusively by Dutch law.
13.2 Disputes shall be submitted exclusively to the competent court in Amsterdam, unless mandatory law dictates otherwise.

Appendix 1 – Maintenance and Product Information

Please note: Different textile batches may contain colour variations. Minor imperfections in the material are inherent to the recycling process. A deviation of approximately 5% in colour or fibre structure is acceptable. Small variations in structure or dimensions compared to samples or showroom models fall within product specifications.

For Rezign and wooden surfaces: use coasters and placemats to prevent scratches and stains. Maintain stable humidity (around 40–60%) to avoid warping or cracking.

For upholstered furniture: regular vacuuming prevents pilling. Avoid direct sunlight to prevent discolouration. Do not use harsh cleaning agents; stains can be treated with a slightly damp cloth.

Variations caused by normal wear, misuse, or exposure to light, moisture, or temperature differences are not covered by warranty.
